Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Convert Solar website located at https://convert-solar.com (“Site”) or engaging Convert Solar LLC (“Convert Solar,” “we,” “our,” or “us”) for any services. By accessing the Site, submitting an inquiry, scheduling a consultation, signing a project agreement, or otherwise using our services, you (“you” or “Customer”) agree to be bound by these Terms. 

If you do not agree to these Terms, please discontinue use of the Site and our services immediately. 

These Terms apply to all visitors, prospective customers, and existing customers. For active project agreements, your signed installation contract governs in the event of any conflict with these Terms. 

1. Company Information 

Convert Solar LLC is a Virginia-based solar energy installation company providing residential and commercial solar design, installation, battery storage, roofing, and related services across Virginia and surrounding markets. Our principal place of business is located at 5770 Thurston Ave #106, Virginia Beach, VA 23455. 

2. Services 

Convert Solar provides the following categories of services: 

· Residential and commercial solar panel system design and installation 

· Battery storage system design and installation 

· Roofing services through Convert Roofing, a related entity 

· Electric vehicle (EV) charger installation 

· Solar system maintenance and service under warranty 

· Consultations, site assessments, and project estimates 

Service availability varies by location. Convert Solar reserves the right to decline or discontinue any service at its discretion. Nothing on this Site constitutes an offer or guarantee of service availability in any particular area. 

3. Estimates, Proposals, and Project Agreements 

All estimates, proposals, and system designs provided by Convert Solar are prepared based on information available at the time of preparation, including customer-supplied utility data, aerial imagery, and preliminary site assessments. 

Estimates are not binding contracts. Final pricing, system specifications, and project timelines are confirmed in a separately executed written installation agreement signed by both parties. Estimates may change as a result of: 

· Physical site inspection findings 

· Engineering review or structural assessment results 

· Local permitting authority requirements 

· Utility company interconnection requirements or delays

· Material availability or supply chain conditions 

· Customer-requested modifications to the original scope 

· HOA or community association review outcomes 

Important: Convert Solar does not guarantee specific energy production output, utility bill savings amounts, or payback periods. All savings projections and production estimates are based on historical data, modeling assumptions, and current rate structures and are not warranties of future performance. 

4. Permits, Interconnection, and Utility Coordination 

Convert Solar manages the permit application and utility interconnection process on behalf of customers as part of the standard installation process. However: 

· Permit approval timelines are determined by local building authorities and are outside Convert Solar’s control 

· Utility interconnection and Permission to Operate (PTO) timelines are determined by the customer’s electricity provider and may take 4 to 16 weeks following installation 

· Solar systems cannot legally generate electricity for the grid until PTO is granted by the utility 

· Convert Solar is not liable for delays caused by permitting authorities, utility companies, HOA review processes, or other third parties 

Customers remain responsible for ensuring their property complies with any HOA, deed restriction, or community association rules that may affect solar installation. Convert Solar will provide documentation to support HOA review applications upon request. 

5. Cancellation Rights and Cooling-Off Period 

For contracts entered into at a location other than Convert Solar’s permanent place of business (including in-home consultations), customers may have the right to cancel the contract within three (3) business days of signing under the Federal Trade Commission’s Cooling-Off Rule (16 CFR Part 429) and applicable state law. 

Notice of cancellation must be submitted in writing to contact@convert-solar.com or by mail to 5770 Thurston Ave #106, Virginia Beach, VA 23455, postmarked no later than midnight of the third business day following contract execution. 

Cancellation rights and timelines for projects in active permit or installation phases are governed by the terms of the signed installation agreement. Project-specific cancellation fees may apply if work has commenced. 

6. Referral Program 

Convert Solar may offer a referral reward program under which existing customers may earn a cash reward for referring individuals who subsequently complete a qualifying solar installation with Convert Solar. 

Referral program terms, including reward amounts, eligibility criteria, qualifying installation definitions, and payout timelines, are published separately and subject to change at any time without prior notice. Participation in any referral program is subject to: 

· The referred individual completing a qualifying installation as defined in the program terms · The referring customer remaining in good standing with no outstanding disputes or chargebacks 

· Reward payouts being processed following confirmation of the referred customer’s installation completion and payment

Referral rewards are not transferable, have no cash equivalent outside the program terms, and cannot be combined with other promotions unless explicitly stated. Convert Solar reserves the right to modify or discontinue the referral program at any time. 

7. Permitted and Prohibited Website Use 

You may use the Site for lawful purposes related to exploring or obtaining Convert Solar’s services. You agree not to: 

· Submit false, misleading, or fraudulent information in any form, inquiry, or communication · Attempt to gain unauthorized access to any portion of the Site, our systems, or our customer data · Use automated tools, bots, or scrapers to extract content from the Site without written permission · Interfere with or disrupt the Site’s functionality, security, or servers 

· Impersonate Convert Solar, its employees, or any other person or entity 

· Violate any applicable local, state, or federal law in connection with your use of the Site Convert Solar reserves the right to terminate access to the Site for any user who violates these Terms. 

8. Intellectual Property 

All content on the Site, including but not limited to text, graphics, logos, photographs, videos, system design illustrations, testimonials, brand elements, and software, is the property of Convert Solar LLC or its licensors and is protected by applicable United States and international intellectual property laws. 

Nothing on the Site grants you any license or right to use any trademark, logo, or brand element without Convert Solar’s prior written consent. Unauthorized reproduction, distribution, modification, or commercial use of any Site content is strictly prohibited. 

If you believe that content on the Site infringes your copyright, please contact us at contact@convert-solar.com with a description of the alleged infringement in accordance with the Digital Millennium Copyright Act (DMCA). 

9. Communications and Consent to Contact 

By submitting your contact information through the Site, a lead form, an in-person consultation, or any other means, you expressly consent to receive communications from Convert Solar and its authorized representatives, including: 

· Phone calls (including autodialed or prerecorded calls where permitted by law) 

· Text messages (SMS/MMS), including automated messages regarding your inquiry, appointments, project status, and marketing offers 

· Email communications regarding your project, account, and promotional content 

You are not required to consent to receive automated or marketing communications as a condition of purchasing any product or service from Convert Solar. 

SMS opt-out: Reply STOP to any text message to unsubscribe from SMS communications. Reply HELP for assistance. Message frequency varies. Standard message and data rates may apply. 

Email opt-out: You may unsubscribe from marketing emails at any time by clicking the unsubscribe link in any marketing email or by contacting us at contact@convert-solar.com.

10. Privacy 

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference and available at https://convert-solar.com/privacy-policy. By using the Site, you acknowledge and agree to the data practices described in the Privacy Policy. 

11. Third-Party Links and Financing Partners 

The Site may contain links to third-party websites, including financing partners such as GoodLeap and others. These links are provided for convenience only. Convert Solar does not control, endorse, or assume responsibility for the content, terms, practices, or privacy policies of any third-party website or service. 

Any financing agreement you enter into with a third-party lender is a direct contract between you and that lender. Convert Solar is not a party to financing agreements and is not responsible for the terms, interest rates, or conditions of any third-party financing product. 

12. Indemnification 

You agree to indemnify, defend, and hold harmless Convert Solar LLC, its officers, employees, agents, contractors, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to: 

· Your breach of these Terms 

· Your violation of any applicable law or regulation 

· Your submission of false or misleading information to Convert Solar 

· Any dispute between you and a third party in connection with your use of the Site or our services 

13. Disclaimer of Warranties 

THE SITE AND ALL CONTENT THEREON ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CONVERT SOLAR DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 

Convert Solar does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Convert Solar does not warrant the accuracy, completeness, or timeliness of any content on the Site. 

14. Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONVERT SOLAR LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST SAVINGS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF CONVERT SOLAR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

In no event shall Convert Solar’s total aggregate liability to you for any claims arising from or related to these Terms or the Site exceed the greater of (a) the total amount paid by you to Convert Solar in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100.00). 

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations shall apply to the fullest extent permitted by law.

15. Dispute Resolution and Arbitration 

Any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or Convert Solar’s services shall first be submitted to good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days of written notice, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. 

Arbitration shall take place in Virginia Beach, Virginia, or by remote means as agreed by the parties. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. 

Class action waiver: You agree that any dispute will be resolved on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding. This waiver is a material term of these Terms, and if it is found unenforceable, the entire arbitration provision shall be void. 

16. Force Majeure 

Convert Solar shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, severe weather events, acts of government, utility company delays, supply chain disruptions, labor disputes, pandemics, or other events of force majeure. In such circumstances, Convert Solar will notify affected customers as soon as practicable and resume performance when reasonably able to do so. 

17. Severability 

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms and shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect. 

18. Changes to These Terms 

Convert Solar reserves the right to modify these Terms at any time. Material changes will be reflected by an updated Effective Date at the top of this page. For significant changes affecting your rights or obligations, we will make reasonable efforts to notify existing customers by email. 

Your continued use of the Site or Convert Solar’s services following any update constitutes your acceptance of the revised Terms. We encourage you to review this page periodically. 

19. Governing Law 

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Subject to the arbitration provision above, any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Virginia Beach, Virginia, and both parties consent to personal jurisdiction in those courts. 

20. Entire Agreement 

These Terms, together with our Privacy Policy and any signed installation or service agreement, constitute the entire agreement between you and Convert Solar with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
